01Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the website located at tsfs.io (the "Site") and any services, products, or system builds offered by True Standard Fit Systems LLC, a limited liability company ("TSFS," "we," "us," or "our").

By accessing the Site, submitting any form, engaging us for a project, or otherwise using our services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Site or engage our services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity.

02Description of Service

TSFS designs, builds, and deploys custom customer relationship management ("CRM"), sales, and funnel infrastructure for fitness business owners and adjacent service businesses. Engagements are typically structured as per-client, white-glove deployments where TSFS configures, customizes, and ships a working system that the client owns outright at the conclusion of the build.

TSFS is not a Software-as-a-Service (SaaS) provider. We do not host long-term multi-tenant software. After delivery, the client typically operates their own deployment on their own infrastructure accounts (e.g. their own Cloudflare, Stripe, Twilio, and Resend accounts). Ongoing hosting, monitoring, and support are available only under a separate written agreement.

The specific scope, deliverables, timeline, and pricing of any engagement are defined in a separate written Statement of Work, Proposal, or order form ("SOW"). To the extent the SOW conflicts with these Terms, the SOW controls for that engagement.

03Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site or engage our services. The Site is directed primarily to residents of the United States. By using the Site, you represent that you meet these requirements.

We reserve the right to refuse service, terminate accounts, or cancel engagements at our discretion, including where we reasonably believe a user has violated these Terms or applicable law.

04Account Registration

Certain portions of our service, including admin access to deployed systems, may require an account. When you create an account you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and promptly update your information.
  • Maintain the security of your password and any session tokens.
  • Accept responsibility for all activities that occur under your account.
  • Notify us promptly at hello@tsfs.io of any unauthorized access or suspected breach.

We are not liable for any loss or damage arising from your failure to safeguard credentials.

05Engagement & Payment

5.1 Proposals and SOWs

All engagements are subject to a written proposal or SOW that specifies scope, deliverables, milestones, fees, and timeline. Engagement begins when the client signs the SOW or remits the initial deposit.

5.2 Deposits and Milestones

Unless otherwise stated, engagements require a deposit before work begins, with the remainder billed against defined milestones or on a fixed schedule. Deposits are non-refundable except as expressly provided in the SOW or required by law, because they reserve capacity and cover preparation work.

5.3 Invoicing and Payment Terms

Invoices are due on receipt unless otherwise stated. Payments are processed via Stripe. Past-due balances may accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law. We reserve the right to suspend work or withhold delivery of final assets while any invoice is past due.

5.4 Refund Policy

Because each engagement is a bespoke build, refunds are evaluated case-by-case and only against work not yet performed. Once a milestone is delivered and accepted (or after a reasonable acceptance period passes without objection), fees allocated to that milestone are non-refundable.

5.5 Change Orders

Scope changes requested by the client after the SOW is signed require a written change order and may affect timeline and fees.

06Intellectual Property

6.1 TSFS Retained IP

TSFS retains all right, title, and interest in and to the underlying CRM template, base codebase, libraries, internal tooling, methodologies, and any pre-existing or independently developed materials that TSFS uses to deliver the engagement (collectively, the "TSFS Platform"). Nothing in these Terms transfers ownership of the TSFS Platform to you.

6.2 Client Deployment

Subject to full payment of all fees due, TSFS grants the client a perpetual, non-exclusive, worldwide, royalty-free license to use, modify, and operate the specific deployment fork built for the client (the "Client Deployment"), including its source code and configuration as delivered. The client may host, modify, fork, sublicense to its own contractors, and otherwise operate the Client Deployment without further consultation with TSFS.

6.3 Client Data

As between the parties, the client owns all data the client or its users enter into or generate through the Client Deployment, including contact records, messaging history, payments data, and analytics ("Client Data"). TSFS claims no ownership of Client Data.

6.4 Feedback

If you provide feedback, suggestions, or ideas relating to the TSFS Platform, you grant TSFS a perpetual, irrevocable, royalty-free license to use that feedback without restriction or obligation to you.

6.5 Restrictions

You may not (a) resell or re-distribute the TSFS Platform itself as a competing product offering, (b) remove or obscure proprietary notices, or (c) reverse engineer non-public TSFS tooling beyond what is necessary to operate the Client Deployment.

07Client Responsibilities

To enable us to deliver the engagement, the client agrees to:

  • Provide timely, accurate information, brand assets, copy approvals, and access to third-party accounts (e.g. Stripe, Twilio, Resend, Google Calendar) where required.
  • Designate a primary point of contact authorized to make decisions and approvals.
  • Review deliverables promptly and provide feedback within reasonable acceptance windows defined in the SOW.
  • Maintain its own compliance obligations under applicable law, including TCPA, CAN-SPAM, GDPR, CCPA, HIPAA (where applicable), state-level health and consumer-protection rules, and any platform-specific Terms of Service for tools used in the Client Deployment.
  • Not use the Client Deployment to send unlawful, harassing, deceptive, or unsolicited communications.

Delays caused by client non-responsiveness, missing approvals, or missing third-party access may extend timelines and may incur reasonable re-engagement fees.

08AI & Automated Systems Disclosure

TSFS uses artificial intelligence and automated tooling extensively in both the delivery of services and the operation of the systems we build. By engaging us, you acknowledge and consent to the following:

8.1 AI in Service Delivery

TSFS uses AI assistants (including but not limited to large language models from Anthropic and other providers) to assist with code generation, copywriting, documentation, technical review, project planning, and other delivery activities. Final deliverables are reviewed by a human (typically the TSFS founder) before sign-off, but you should assume AI is involved at multiple steps in the workflow.

8.2 AI Inside the Client Deployment

The systems we build commonly integrate the Anthropic Claude API for purposes including: dynamic rendering of SMS and email templates with contact-specific variables; suggested message phrasing; classification of inbound contacts; summarization of activity; and other automation tasks defined in the SOW.

When the Client Deployment uses Anthropic for message rendering, the content of those messages, along with any variables (contact names, deal data, custom fields) needed to render them, are transmitted to Anthropic for processing in accordance with Anthropic's published terms and data policies. Anthropic states that API content is not used to train their models by default. The client is responsible for reviewing Anthropic's then-current policies and for determining suitability for the client's regulatory environment.

8.3 Human-in-the-Loop

For outbound messages to new prospects in the systems we build, the default configuration places a human reviewer (typically the client or a client team member) in the loop before sending. Some workflows (e.g. transactional confirmations, status notifications, or pre-approved drip sequences) may dispatch without per-message human review. The client controls these settings post-delivery and is responsible for configuring them appropriately.

8.4 No Guarantee of AI Output

AI-generated output may contain errors, hallucinations, biased phrasing, or factually incorrect statements. TSFS makes no warranty that AI outputs are accurate, complete, fit for any particular purpose, or compliant with any particular legal regime. The client is responsible for reviewing AI-generated content before it is sent to end users.

8.5 Principles

TSFS endeavors to align its AI usage with the transparency, accountability, and human-oversight principles articulated in widely-recognized AI governance frameworks (including the U.S. AI Bill of Rights blueprint and analogous principles in other jurisdictions). This is a statement of intent, not a contractual guarantee of compliance.

09Third-Party Services

The TSFS Platform and the systems we build rely on third-party service providers, including without limitation:

  • Cloudflare, Inc. for hosting, edge compute, storage, and CDN.
  • Twilio, Inc. for SMS, MMS, and voice messaging.
  • Resend, Inc. for transactional and marketing email delivery.
  • Stripe, Inc. for payment processing.
  • Anthropic, PBC for AI-driven template rendering and assistant capabilities.
  • Google LLC for calendar synchronization (Google Calendar).

TSFS is not responsible for the availability, accuracy, content, security, or performance of any third-party service. Outages, rate-limiting, pricing changes, deprecations, or terms-of-service changes by any of the above providers are outside our control. Where a third-party service requires its own user agreement, you are responsible for accepting and complying with that agreement.

10Warranties & Disclaimers

TSFS warrants that services will be performed in a professional, workmanlike manner consistent with industry standards. Beyond that limited warranty, the Site, the TSFS Platform, and any Client Deployment are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TSFS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR TRADE USAGE.

TSFS does not warrant that the Site or any deployed system will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not offer a uptime service-level agreement (SLA) unless one is expressly set forth in a separate signed agreement.

11Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • TSFS, its members, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost revenue, lost data, lost goodwill, business interruption, or cost of substitute services, arising out of or in connection with these Terms, the Site, the TSFS Platform, or any Client Deployment, whether based in contract, tort (including negligence), strict liability, or otherwise, and whether or not TSFS has been advised of the possibility of such damages.
  • TSFS's total aggregate liability arising out of or relating to these Terms, the Site, or any engagement shall not exceed the total fees actually paid by the client to TSFS in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the limitations above may not apply to you in full. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12Indemnification

You agree to defend, indemnify, and hold harmless TSFS and its members, officers, employees, contractors, agents, and affiliates from and against any and all claims, damages, liabilities, losses, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Site, the TSFS Platform, or any Client Deployment.
  • Content, data, or messaging that you, your team, or your customers send through the Client Deployment, including any allegation that such content is unlawful, infringing, defamatory, deceptive, or in violation of TCPA, CAN-SPAM, GDPR, CCPA, or other applicable law.
  • Your breach of these Terms or any representation made to TSFS.
  • Your violation of any third-party right, including any intellectual-property, privacy, or publicity right.

TSFS reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with TSFS's defense of such claim.

13Termination

Either party may terminate an engagement for material breach by the other party that remains uncured ten (10) days after written notice. TSFS may terminate or suspend your access to the Site at any time, with or without cause and with or without notice, where doing so is reasonable.

Upon termination: (a) all fees for work performed up to the termination date become immediately due; (b) the client retains its perpetual license to any Client Deployment milestones already delivered and paid for; (c) the parties' obligations under sections 6 (IP), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 15 (Dispute Resolution), and 17 (Governing Law) survive termination.

14Communications Consent

By submitting any form on the Site, including the audit request form, quote quiz, or contact form, you expressly consent to receive communications from TSFS at the email address and, if provided, the telephone number you submit.

14.1 SMS / Text Messaging (TCPA)

If you provide a mobile telephone number, you consent to receive SMS or MMS messages from TSFS related to your inquiry, including transactional messages (such as confirmation of an audit booking) and, where you have separately opted in, marketing or follow-up messages. Consent to receive marketing text messages is not required as a condition of purchase.

Message and data rates may apply. Message frequency varies. You can reply STOP at any time to unsubscribe from non-transactional messages, and reply HELP for help. Carriers are not liable for delayed or undelivered messages. By providing your number, you represent that you are the subscriber of that number or are authorized to consent on the subscriber's behalf.

14.2 Email (CAN-SPAM)

You will receive transactional email related to your inquiry (e.g. confirmation, audit notes). Marketing email is sent only where you have opted in or have an existing engagement relationship. Every marketing email contains an unsubscribe link. Unsubscribing from marketing email does not unsubscribe you from transactional email related to an active engagement.

14.3 Phone Calls

If you provide a telephone number, you consent to a TSFS representative calling you for purposes of scheduling, intake, or following up on your inquiry. You may decline calls at any time.

15Dispute Resolution

15.1 Informal Resolution First

Before filing any formal claim, the parties agree to attempt to resolve disputes informally by contacting hello@tsfs.io with a written description of the dispute. The parties will negotiate in good faith for at least thirty (30) days before any formal action.

15.2 Binding Arbitration

If informal resolution fails, all disputes arising out of or relating to these Terms or any engagement shall be resolved by binding arbitration administered by JAMS (or a comparable arbitration provider mutually agreed) under its then-current rules. The arbitration shall take place in the State of California, or by remote video conference at the arbitrator's discretion. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND TSFS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative proceeding.

15.4 Exceptions

Either party may bring an individual action in small-claims court (if jurisdiction allows), and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual-property rights.

16Force Majeure

Neither party shall be liable for failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemic, labor disputes, government action, regulatory change, internet or utility outages, third-party-service outages (including outages of Cloudflare, Twilio, Resend, Stripe, Anthropic, or Google), or other similar events.

17Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. Subject to section 15 (Dispute Resolution), the parties consent to the exclusive jurisdiction of the state and federal courts located in California for any matter not subject to arbitration.

18Changes to Terms

We may modify these Terms from time to time. The "Last updated" date at the top reflects the most recent change. Material changes will, where reasonably possible, be announced via email to active clients or via a notice on the Site. Continued use of the Site or services after changes become effective constitutes acceptance.
